01 Acceptance of Terms

By accessing or using the website squarerootseo.com ("Website") operated by Square Root SEO LLP ("Company", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Website or services.

These Terms apply to all visitors, users, and clients who access or use the Website and our digital marketing services.

02 Services

Square Root SEO LLP provides digital marketing services exclusively for B2B manufacturers, including but not limited to:

• Search Engine Optimization (SEO)
• Website Design and Development
• Pay Per Click (PPC) / Google Ads Management
• Social Media Management
• Branding and Visual Identity
• Content Strategy and Copywriting
• Digital Audit and Consultation (A.C.I.D Framework)

The scope of services for each client shall be defined in a separate Service Agreement or Proposal document signed by both parties.

03 Client Obligations

By engaging our services, you agree to:

• Provide accurate and complete information required for the delivery of services
• Grant necessary access to website, hosting, analytics accounts, and other platforms as needed
• Review and approve deliverables in a timely manner
• Make payments as per the agreed payment schedule
• Ensure that all content, logos, and materials provided to us are owned by you or properly licensed

04 Payments & Billing

• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Payment terms shall be outlined in the Service Agreement or Proposal
• An advance payment may be required before commencement of work
• Late payments may attract interest at the rate of 1.5% per month on outstanding amounts
• All applicable taxes (GST) will be charged in addition to the quoted fees

05 Intellectual Property

Our IP

All proprietary methodologies, frameworks (including the A.C.I.D Framework), tools, templates, processes, and original content created by Square Root SEO LLP remain the intellectual property of the Company unless explicitly transferred in writing.

Client IP

Upon full payment of all dues, the client shall own all deliverables created specifically for them (e.g., website design, content, graphics) as specified in the Service Agreement.

Third-Party Assets

Any third-party software, plugins, stock images, or fonts used in deliverables shall remain subject to their respective licence terms.

06 Confidentiality

Both parties agree to keep confidential all proprietary information, business data, strategies, and materials shared during the course of the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

07 Results & Guarantees

While we employ industry best practices and data-driven strategies, we do not guarantee specific outcomes including but not limited to:

• Specific search engine rankings or positions
• Exact traffic numbers or lead volumes
• Revenue or conversion outcomes

Search engine algorithms, market conditions, and competitive landscapes are beyond our control. All projections and estimates shared are based on historical data and professional judgement, and should be treated as indicative only.

08 Limitation of Liability

To the maximum extent permitted by applicable law, Square Root SEO LLP shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from third-party actions, including search engine algorithm changes

Our total liability under any engagement shall not exceed the total fees paid by the client for the services in question during the preceding three (3) months.

09 Termination

Either party may terminate the engagement by providing written notice as per the terms specified in the Service Agreement. In the absence of such terms:

• Either party may terminate with 30 days' written notice
• The Company may terminate immediately in case of non-payment exceeding 30 days
• Upon termination, the client shall pay for all services rendered up to the date of termination
• Any pre-paid amounts for undelivered services shall be refunded on a pro-rata basis

10 Website Use

By using our Website, you agree not to:

• Use the Website for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Website
• Copy, reproduce, or redistribute website content without permission
• Interfere with or disrupt the Website's functionality or security
• Use automated systems (bots, scrapers) to access the Website without consent

11 Indemnification

You agree to indemnify and hold Square Root SEO LLP, its partners, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or your violation of any applicable law.

12 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

13 Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Website after any changes constitutes acceptance of the modified Terms.
